By using or continuing to use our Services, you agree to be bound by these Terms. No signature is required use of our Services constitutes full acceptance. If you do not agree, you must discontinue use immediately.
1. Introduction
These Terms of Service ("Terms") govern your use of all virtual assistant, live call answering, and related services ("Services") provided by Uncloud Experts ("Company," "we," "our," or "us"), a Wyoming registered business. These Terms apply to all clients, users, and authorized representatives engaging with our Services in any capacity.
2. Services Provided
Uncloud Experts provides professional virtual assistant and live call management services to businesses. Services may include:
• Answering inbound calls on your company's behalf
• Call forwarding, scheduling, or message taking
• Customer support or lead intake functions as agreed in writing
• Administrative support, task management, and research
• Any additional services mutually agreed upon in writing
The exact scope of services will be described in your service plan or onboarding communication. Uncloud Experts reserves the right to modify or discontinue any feature of the Services with reasonable notice.
3. Client Responsibilities
By using our Services, Client agrees to:
• Maintain an active and paid account with any required third-party phone service provider (e.g., Nextiva)
• Remain solely responsible for all phone service bills, fees, and charges associated with your account
• Grant Uncloud Experts and its agents the necessary access to operate through your account solely for the purpose of providing the agreed Services
• Ensure your phone system and account settings are properly configured for our team to operate effectively
• Provide accurate and complete business information during onboarding and throughout the engagement
• Notify Uncloud Experts promptly of any changes to your account, contact information, or service requirements
4. Payments & Billing
4.1 Billing Cycle
Services are billed on a monthly basis. Invoices are issued at the start of each billing period. Payment is due on the invoice date.
4.2 Accepted Payment Methods
Uncloud Experts accepts the following payment methods:
• ACH Bank Transfer — Client initiates transfer from their bank using Uncloud Experts banking details provided on the invoice
• Wire Transfer — Client initiates domestic wire transfer using Uncloud Experts banking details provided on the invoice
• Zelle Business — Client sends payment via Zelle Business to the Uncloud Experts registered business contact provided on the invoice
No other payment methods are accepted. Banking details and Zelle Business contact information will be provided on each invoice.
4.3 Payment Confirmation
Upon remitting payment, Client agrees to provide Uncloud Experts with an email confirmation or payment reference number within 24 hours of initiating the transfer. Confirmation must be sent to admin@uncloudexperts.com. This ensures accurate reconciliation and uninterrupted service delivery.
4.4 Late Payments
Payment is due on the invoice date. If payment is not received within 3 business days of the invoice date, a late fee of 2% of the outstanding balance per week will be applied beginning on the 4th business day. Late fees compound weekly until the balance is paid in full.
4.5 Service Suspension
If payment is not received within 5 business days of the invoice date, Uncloud Experts will automatically suspend all Services without further notice. Suspension is not discretionary — it is automatic upon reaching the 5 business day threshold. Services will resume only upon confirmed receipt of full payment including any accrued late fees.
4.6 No Refund Policy
All fees are non-refundable. Due to the on-demand, continuous-use nature of virtual assistant and call management services, Uncloud Experts does not provide refunds once a service period has commenced. Cancellation does not entitle Client to a refund or credit for any portion of the current billing period.
5. Billing Disputes
Client must submit any billing dispute in writing to admin@uncloudexperts.com within 7 days of the invoice date. All disputes must include supporting documentation. Submitting a dispute does not suspend the payment obligation, guarantee a refund, or guarantee a credit. Disputes submitted after 7 days of the invoice date will not be reviewed. All fees remain due and payable while a dispute is under review.
6. Cancellation & Termination
6.1 Cancellation by Client
Client may cancel Services at any time by providing written notice to admin@uncloudexperts.com. Upon receipt of cancellation notice, Services will continue through the end of the current monthly billing period. No refunds or prorated credits will be issued for unused days within an active billing period. Client remains responsible for all fees incurred through the end of the active billing period.
6.2 Termination by Uncloud Experts
Uncloud Experts may suspend or terminate Services immediately and without notice if:
• Payment is overdue beyond 5 business days
• Access credentials are revoked, misused, or compromised
• Client violates any provision of these Terms
• Client engages in conduct that interferes with service delivery or harms Uncloud Experts or its personnel
• Client violates any applicable laws or regulations
6.3 Effect of Termination
Upon termination, all outstanding fees become immediately due and payable. Termination does not waive any amounts owed by Client.
7. Limitation of Liability
To the fullest extent permitted by law:
• Uncloud Experts is not responsible for any lost business, missed calls, revenue loss, or missed opportunities
• Uncloud Experts is not responsible for any service interruptions, communication errors, or third-party platform failures
• Uncloud Experts makes no guarantees that Services will be error-free or uninterrupted
• Uncloud Experts total liability under these Terms shall not exceed the total fees paid by Client in the 30 days preceding the claim
• Uncloud Experts shall have no liability whatsoever for any indirect, incidental, consequential, special, or exemplary damages of any kind, including loss of profits, revenue, business opportunities, or data, even if Uncloud Experts has been advised of the possibility of such damages.
Uncloud Experts is not liable for any service disruptions, missed calls, communication failures, or losses of any kind resulting from outages, failures, or misconfigurations of third-party platforms, phone systems, or software, including but not limited to Nextiva or any other phone service provider. Uncloud Experts is further not liable for any failures, errors, or disruptions caused by Client's own systems, accounts, configurations, or failure to maintain required third-party services.
Uncloud Experts, its owners, officers, employees, virtual assistants, and agents shall not be liable for including but not limited to any errors, omissions, miscommunications, or mistakes made during service delivery. Client acknowledges that all work product, call handling, messages, scheduling, and tasks performed by Uncloud Experts staff are subject to Client’s review and approval. It is the sole responsibility of the Client to review, verify, and confirm the accuracy of all work performed. By continuing to use the Services, Client accepts all Terms.
8. Indemnification
Client agrees to indemnify, defend, and hold harmless Uncloud Experts, its owners, officers, agents, employees, and representatives from and against any and all claims, losses, damages, liabilities, costs, and expenses (including attorney's fees) arising out of or related to:
• Client's use of the Services
• Client's phone account, systems, or third-party platforms
• Any breach of these Terms by Client
• Any claim made by Client's customers, employees, or third parties arising from services rendered on Client's behalf
• Any violation of applicable laws or regulations by Client
This indemnification obligation survives termination of these Terms.
9. Confidentiality
Both parties agree to protect all confidential information shared during the course of engagement. Uncloud Experts will not disclose Client data, contacts, call information, or business information to any third party except as required to perform the Services or as required by law. This obligation survives termination of these Terms.
10. Force Majeure
Uncloud Experts shall not be liable for any failure or delay in performing Services caused by circumstances beyond its reasonable control, including but not limited to: internet or platform outages, natural disasters, pandemics, acts of God, fire, flood, storms, earthquakes, government actions, regulations, orders, or restrictions, power failures, cyberattacks, labor disputes, or any other unforeseen event or phenomenon outside the reasonable control of Uncloud Experts. In such circumstances, Uncloud Experts will make reasonable efforts to resume Services as quickly as possible.
11. Privacy
Uncloud Experts collects limited client information: including name, email address, phone number, and business information, solely for the purpose of delivering Services and communicating with Client. We do not sell or share your data with third parties except as required to perform Services. Payment information is securely processed and never stored on our servers.
12. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes arising under or related to these Terms shall be resolved exclusively in the courts of the State of Wyoming. Client consents to personal jurisdiction in Wyoming for any such dispute.
13. Modifications
Uncloud Experts reserves the right to modify these Terms at any time. Updated Terms will be posted to uncloudexperts.com/terms and are effective immediately upon posting. Continued use of Services following any update constitutes Client's acceptance of the revised Terms. It is Client's responsibility to review these Terms periodically.
14. Entire Agreement
These Terms constitute the entire agreement between Client and Uncloud Experts with respect to the Services and supersede all prior agreements, representations, and understandings, whether written or oral. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
